Terms of Service

Updated September 26, 2026

These Terms of Service ("Terms") govern your use of the Idra mobile application ("Idra"), the website at idrahealth.com, and related services (together, the "Services"), provided by Idra Health Inc. ("Idra Health," "we," "us," or "our"). By creating an account or using our Services, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use our Services.

These Terms include an agreement to resolve disputes through individual arbitration and a class action waiver, which you may opt out of.

1. About our Services

Our Services are designed to support your general health and wellness. You understand that they are:

  • Not medical care — Our Services are not intended to diagnose, treat, cure, mitigate, or prevent any disease or condition, or to provide medical advice, therapy, or other mental health care. Consult a qualified healthcare or mental health professional about any medical condition or medication, including before making related changes. Your use of our Services does not create a doctor-patient, therapist-client, or other professional relationship.
  • Not an emergency service — Our Services are not intended for emergencies or crises. Our automated checks may show crisis resources, but no person monitors chats in real time, and they may not detect every situation that requires help. If you are experiencing an emergency or crisis, contact local emergency services or a crisis hotline immediately.
  • Powered by artificial intelligence — Content we provide, such as chat responses, recommendations, and insights, may be inaccurate, incomplete, or unsuitable for you, so evaluate it before acting on it. You are responsible for your own decisions and actions. Idra is an AI, not a person, and is not a substitute for professional care or human support.

2. Eligibility and accounts

  • Eligibility — You must be at least 18 years old to use our Services. Our Services are offered from the United States; if you use them from elsewhere, you are responsible for complying with local law. You must not be located in a country subject to a U.S. government embargo or be on a U.S. government list of restricted parties.
  • Your account — You agree to provide accurate information, to use our Services only for yourself, and to keep your account credentials and device secure. You are responsible for all activity under your account, and must notify us promptly at hello@idrahealth.com of any unauthorized use.

3. Pre-release versions

We may offer pre-release versions of our Services. Pre-release versions are provided for evaluation, may contain errors, and may be changed, suspended, or discontinued, or your access to them ended, at any time. Data you create in a pre-release version, such as chats and logs, may not carry over to later versions. Pre-release versions and information about them are confidential, and you agree not to share them without our permission.

4. Memberships

Certain features require a paid subscription ("Membership"). Prices are shown before purchase. We may change which features require a Membership, and may offer free trials, promotional offers, or free access to certain features, subject to any additional terms presented at the time.

  • Billing — Memberships are purchased through the app store you use, such as the Apple App Store, and billed under that app store's terms.
  • Automatic renewal — Memberships renew automatically at the end of each billing period unless canceled at least 24 hours before the renewal date through your app store account settings. Cancellation takes effect at the end of the current billing period.
  • Refunds — Refund requests are handled by the app store under its policies.
  • Price changes — We may change Membership prices, subject to the app store's rules and applicable law.

Deleting your account does not cancel a Membership. To stop future charges, cancel it through your app store account.

5. Your Content

You retain ownership of the content you submit through our Services, such as your chats, logs, and other information you provide ("Your Content"), and you are responsible for it. You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and use Your Content to provide, maintain, and secure our Services, and to use it as described in our Privacy Policy, including, where you have opted in, to improve Idra. This license ends when Your Content is deleted, except as described in our Privacy Policy.

You may use the responses you receive through our Services for your own personal, non-commercial purposes.

6. Acceptable use

You agree not to:

  • use our Services unlawfully, or in a way that could harm others or our Services;
  • impersonate anyone, or access or use another person's account;
  • access or attempt to access our systems or data without authorization, probe or test their vulnerabilities, or introduce malicious code;
  • interfere with, disrupt, or circumvent the security, safeguards, or limits of our Services;
  • copy, modify, reverse engineer, decompile, resell, or create derivative works of our Services, except as permitted by law;
  • attempt to extract our prompts, instructions, models, or methods;
  • access our Services by automated means, or use our Services or their output to develop competing products or train artificial intelligence models; or
  • submit abusive, harassing, sexually explicit, or otherwise inappropriate content, or attempt to cause our Services to generate harmful or unlawful content.

7. Intellectual property

Our Services, including all software, content, designs, and trademarks, are owned by Idra Health or its licensors and are protected by law. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use our Services for your personal, non-commercial use. All rights not expressly granted are reserved. If you provide feedback, we may use it without restriction or obligation to you.

8. Third-party services

Our Services may link to or rely on third-party websites and services, such as app stores and crisis resources, that we do not control. We are not responsible for their content, availability, or practices, and your use of them is governed by their own terms.

9. Termination

You may stop using our Services and delete your account at any time in the app. We may suspend or terminate your access at any time, without liability to you, including if you violate these Terms, if required by law, or to protect our Services or other users. If we terminate your account, you may not create a new one without our permission. Provisions of these Terms that by their nature should survive termination will survive.

10. Changes to our Services and these Terms

We may modify, suspend, or discontinue any part of our Services at any time.

We may also update these Terms. When we do, we will post the updated Terms with a new "Updated" date; the latest version is always available at https://idrahealth.com/terms. If we make material changes, we will provide reasonable notice through our Services or by email. Changes to the dispute resolution terms in Section 14 will not apply to disputes that arose before the change. Your continued use of our Services after changes take effect constitutes acceptance; if you do not agree, you must stop using our Services.

11. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT THEY WILL ACHIEVE ANY PARTICULAR HEALTH OUTCOME.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IDRA HEALTH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES. IDRA HEALTH'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR $50. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.

13. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Idra Health from claims arising out of Your Content, your violation of these Terms, applicable law, or the rights of others, or your misuse of our Services.

14. Governing law and arbitration

These Terms are governed by the Federal Arbitration Act and, to the extent not preempted, the laws of the State of California, without regard to its conflict-of-law rules.

  • Informal resolution — Before filing a claim, you agree to contact us at legal@idrahealth.com and attempt to resolve the dispute informally for at least 30 days.
  • Arbitration — If the dispute is not resolved, you and Idra Health agree to resolve it through final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. We will pay arbitration fees as required by those rules. Either party may instead bring an individual claim in small claims court, or seek relief in court for infringement of intellectual property rights. You and Idra Health waive any right to a jury trial.
  • Class action waiver — You and Idra Health may bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding. If this waiver is found unenforceable for any claim, that claim will proceed in court, not in arbitration. Any request for public injunctive relief that cannot be waived by law will be decided in court after the individual claims are arbitrated.
  • Mass arbitration — If 25 or more similar claims are filed by or with the assistance of the same or coordinated counsel, they will be administered in batches under the arbitration administrator's mass arbitration rules.
  • Opt-out — You may opt out of this agreement to arbitrate by emailing legal@idrahealth.com with your name and the email address associated with your account within 30 days after you first accept these Terms.

Any claim not subject to arbitration must be brought exclusively in the state or federal courts located in California, and you and Idra Health consent to their jurisdiction. To the extent permitted by law, any claim arising out of or relating to these Terms or our Services must be brought within one year after it arises. If you live outside the United States, these dispute terms apply only to the extent permitted by your local law. Nothing in these Terms limits rights you have under applicable consumer protection law.

15. Apple-specific terms

If you obtained the app from the Apple App Store:

  • These Terms are between you and Idra Health, not Apple, and Idra Health, not Apple, is solely responsible for the app and its content.
  • Your license is limited to use on Apple-branded products you own or control, as permitted by the Usage Rules in the App Store Terms of Service.
  • Apple has no obligation to provide maintenance or support for the app.
  • If the app fails to conform to an applicable warranty, you may notify Apple, and Apple will refund any purchase price paid for the app. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
  • Idra Health, not Apple, is responsible for addressing any claims relating to the app, including product liability claims, claims that the app fails to conform to legal or regulatory requirements, consumer protection claims, and intellectual property infringement claims.
  • You represent that you are not located in a country subject to a U.S. government embargo and are not on any U.S. government list of prohibited or restricted parties.
  • You must comply with applicable third-party terms when using the app.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

16. General

  • Entire agreement — These Terms, together with any additional terms we present to you, are the entire agreement between you and Idra Health regarding our Services.
  • Severability — If any provision is found unenforceable, the remaining provisions remain in effect.
  • No waiver — Our failure to enforce a provision is not a waiver.
  • Events beyond our control — We are not liable for delays or failures caused by events beyond our reasonable control.
  • Notices — We may provide notices to you through our Services or by email, and you agree that notices and communications we provide electronically satisfy any legal requirement that they be in writing.
  • Assignment — You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Third-party beneficiaries — Except for Apple as described above, there are no third-party beneficiaries of these Terms.
  • California users — You may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
